Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("Customer", "you") and QRDine ("QRDine", "we", "us", "our") governing your access to and use of the QRDine platform, websites, mobile interfaces, APIs, and related services (collectively, the "Service"). By creating an account, clicking "I agree", or otherwise accessing the Service, you confirm that you have read, understood, and agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
1. Definitions
"Tenant" means the restaurant, cloud kitchen, café, or other business entity that subscribes to the Service. "Authorized User" means an owner, manager, chef, waiter, cashier, or other staff member you invite to the Tenant workspace. "Customer Data" means all data submitted to the Service by you, your Authorized Users, or your guests, including menu content, orders, payments, feedback, and analytics.
2. Eligibility & Account Registration
You must be at least 18 years old and legally able to enter into contracts. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for safeguarding credentials, enabling two-factor authentication where offered, and for all activity that occurs under your account. Notify us at security@qrdine.io immediately upon any suspected unauthorized access.
3. Description of Service
QRDine provides a cloud-based restaurant operations platform including, without limitation: QR-based digital menus, table and reservation management, order routing, kitchen display, payment processing integrations, staff scheduling, inventory tracking, loyalty programs, customer messaging, and analytics. Features, pricing tiers, and quotas may evolve; material changes will be communicated with reasonable notice.
4. Subscriptions, Free Plan & Trials
The Service is offered on tiered subscription plans (including a Free plan with usage limits) billed monthly or annually in advance. Paid plans automatically renew for successive periods unless cancelled before the current period ends. We may modify pricing on 30 days' notice; changes take effect at the next renewal. Trial periods, if any, convert to paid plans automatically unless cancelled.
5. Payments, Taxes & Refunds
You authorize us (and our payment processors including Stripe, bKash, Nagad, ZiniPay, and SSLCommerz) to charge the payment method on file for all subscription fees and applicable taxes. Transaction fees on guest payments processed via integrated gateways are passed through at provider rates. All fees are non-refundable except where required by law or expressly stated. You are responsible for all taxes, duties, and levies (excluding taxes on our net income). Overdue amounts accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.
6. Acceptable Use
You agree not to: (a) reverse engineer, decompile, or attempt to derive source code; (b) resell, sublicense, or offer the Service as a service bureau without written consent; (c) upload malware, illegal content, or content that infringes intellectual property, privacy, or publicity rights; (d) send unsolicited marketing (spam) via our messaging features; (e) probe, scan, or test the vulnerability of any system without prior written authorization; (f) exceed documented rate limits; (g) use the Service to compete with QRDine or to build a competing product; or (h) circumvent access controls or usage quotas.
7. Customer Data & Ownership
As between the parties, you retain all right, title, and interest in Customer Data. You grant QRDine a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works of Customer Data solely as necessary to (a) provide and improve the Service, (b) ensure security and prevent fraud, (c) comply with law, and (d) produce aggregated, de-identified analytics. You represent that you have obtained all necessary rights and consents (including from your guests and staff) for such processing.
8. Third-Party Services
The Service integrates with third-party providers (payment gateways, email/SMS delivery, WhatsApp Cloud API, cloud infrastructure, AI providers, analytics). Your use of those services is governed by their respective terms. We are not responsible for outages, errors, or data handling by third parties beyond our reasonable control.
9. Confidentiality
Each party will protect the other's Confidential Information using at least the same degree of care it uses for its own confidential information (and no less than reasonable care), and will use it solely to perform under these Terms. Obligations survive for three (3) years after termination.
10. Intellectual Property
The Service, including all software, designs, trademarks, and documentation, is owned by QRDine and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription. Feedback you provide may be used by us without restriction or compensation.
11. Service Availability & Support
We target 99.5% monthly uptime measured excluding scheduled maintenance and force-majeure events. Support is provided during business hours via email at support@qrdine.io and, for paid plans, via in-app channels. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.
12. Suspension & Termination
Either party may terminate for convenience on 30 days' written notice. We may suspend or terminate immediately for (a) material breach not cured within 10 days of notice, (b) non-payment, (c) violation of Section 6 (Acceptable Use), or (d) legal or regulatory requirement. Upon termination you may export Customer Data via the Service for 30 days; after that, data may be permanently deleted.
13. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION OR ERROR.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. EACH PARTY'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO QRDINE IN THE 12 MONTHS PRECEDING THE CLAIM.
15. Indemnification
You will defend, indemnify, and hold harmless QRDine and its affiliates against claims arising from (a) your Customer Data, (b) your violation of these Terms or applicable law, or (c) your infringement of any third-party right. We will defend you against claims that the Service, as provided and used per these Terms, infringes a third party's intellectual property, subject to standard exclusions.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the People's Republic of Bangladesh, without regard to conflict-of-laws principles. The parties will attempt in good faith to resolve disputes through negotiation. Unresolved disputes are subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
17. Changes to the Terms
We may update these Terms periodically. Material changes will be notified via email or in-app notice at least 15 days before taking effect. Continued use after the effective date constitutes acceptance.
18. Miscellaneous
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement. If any provision is held unenforceable, the remainder will continue in effect. Failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign in connection with a merger, acquisition, or sale of assets.
